Please read these terms carefully before using our services.

1. General Provisions and Acceptance of Terms

Welcome to CxLogix Solutions LLP ("CxLogix," "we," "us," or "our"). These Comprehensive Terms of Service ("Terms") govern your access to and use of the cxlogix.in website, our client and employee portals, software applications, APIs, cybersecurity services, cloud infrastructure management, and any other associated services provided by us (collectively, the "Services"). By registering for an account, signing a Statement of Work (SOW), or simply browsing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must immediately cease all use of our Services.

2. Account Registration, Security, and Access

To access certain features of our Services, such as the Client Dashboard or Employee Portal, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Account Confidentiality: You are solely responsible for safeguarding the password and authentication credentials (including multi-factor authentication tokens) that you use to access the Services. You agree not to disclose your password to any third party.
  • Unauthorized Access: You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. CxLogix will not be liable for any loss or damage arising from your failure to comply with this security obligation.
  • Administrative Privileges: Accounts designated with "Admin" or "Superadmin" roles hold significant destructive capabilities. Clients assume all responsibility for actions taken by users to whom they grant administrative access.

3. Scope of IT & Software Services

CxLogix provides bespoke software development, cloud architecture, and cybersecurity consulting. Before any project commences, a formal project contract (such as a Statement of Work or Master Service Agreement) will be provided. All clients must explicitly agree to and strictly abide by the terms of this individual project contract. In the event of a conflict between these general Terms and a specific project contract, the specific project contract shall take precedence. We reserve the right to subcontract elements of the Services to trusted third-party vendors, provided that we remain responsible for their compliance with our quality and security standards.

4. Cybersecurity Services & Disclaimers

While CxLogix employs industry-leading practices in our cybersecurity consulting and implementation services (including penetration testing, vulnerability assessments, and zero-trust architecture design), no system can be guaranteed as 100% secure. You expressly acknowledge that CxLogix does not guarantee absolute security against malicious actors, zero-day exploits, or novel cyber threats. We are not liable for data breaches, ransomware infections, or unauthorized access to your systems unless such events are proven to be the direct result of gross negligence or willful misconduct by CxLogix personnel.

5. Intellectual Property Rights

The ownership of intellectual property (IP) is determined as follows:

  • CxLogix IP: All pre-existing tools, libraries, frameworks, methodologies, website content, and blog articles remain the exclusive property of CxLogix Solutions LLP.
  • Client IP: Upon full payment for custom software development services as defined in an SOW, the intellectual property rights for the specific custom code produced will be transferred to the Client, subject to our retention of rights over underlying pre-existing CxLogix IP.
  • Open Source: Deliverables may incorporate Open Source Software, which is subject to its respective licensing terms (e.g., MIT, Apache 2.0).

6. Acceptable Use Policy (AUP)

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
  • Attempting to bypass, exploit, defeat, or disable any security or encryption mechanisms of our website, client portals, or deployed applications.
  • Reverse-engineering, decompiling, or disassembling any aspect of the CxLogix proprietary software or dashboards.
  • Deploying automated scrapers, bots, or spiders to harvest data from our website or APIs without our explicit written consent.
  • Transmitting viruses, malware, or any other malicious code through our contact forms, upload portals, or communication channels.

7. Data Privacy and Handling

Your privacy is critically important to us. Our data handling practices, including the collection, processing, and storage of personal information via Firebase or other cloud infrastructure, are detailed in our Privacy Policy. By using our Services, you consent to the data practices described therein. If you process European Union citizen data, you must notify us to execute a Data Processing Agreement (DPA) compliant with the General Data Protection Regulation (GDPR).

8. Limitation of Liability and Warranties

DISCLAIMER OF WARRANTIES: THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. CXLOGIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CXLOGIX, ITS PARTNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. IN NO EVENT WILL CXLOGIX'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO CXLOGIX FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

9. Indemnification

You agree to defend, indemnify, and hold harmless CxLogix Solutions LLP and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Services, by you or any person using your account and password; (b) a breach of these Terms; or (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or property right.

10. Termination and Suspension

We reserve the right to suspend or terminate your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will immediately cease. Provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India. The language of the arbitration shall be English.

12. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
